Selling a Private Company

Our Approach

Selling Private Companies take an active approach to selling your company that is distinctly different to many of our competitors.  What does that mean for you?

We find FAR MORE POTENTIAL BUYERS by researching not just competitors but complementary businesses and overseas companies.

We GENERATE THE MAXIMUM POSSIBLE INTEREST by discretely making contact with all the potential buyers.

We KEEP YOU INFORMED with monthly reports that detail our contact with each potential buyer and their response.

There will be a Selling Private Companies employee PRESENT AT EVERY MEETING with a potential buyer.

We SUPPORT PRICE NEGOTIATIONS and manage the sales process through to completion.

Our Service

A professional approach can make a huge difference to the price achieved for a business and the time taken to find a buyer.   Our client teams take the burden of the workload involved and give you the tools to remain on top of key events and decisions in the process while continuing to manage your business.

The service includes:

  • Initial valuation

  • Providing detailed monthly reports on progress and buyer feedback;
  • Supporting price and contract negotiation;
  • Coordinating advisers through due diligence to completion.

We charge an initial fee to cover the costs of preparation and research but in the main we are rewarded through a commission on the sale.

Business Valuation

Our Service

We provide professional business valuations by qualified experts.  Clients typically require professional business valuations in the following circumstances:

  • Matrimonial settlements;
  • Buy-outs of partners or co-directors;
  • Valuation of goodwill on incorporation;
  • Evaluation of third party offers for the business;
  • Probate;
  • Long term financial planning.

All our valuation experts have recognised professional qualification in corporate finance and business valuation.

Finding a Business to Buy

Our Approach

We call the Selling Private Companies approach to finding a company to buy an active acquisition search; in contrast to the more passive approach of relying on broker circulars and monitoring the various websites on which businesses for sale are advertised.   Many of the most attractive businesses never reach the hands of brokers and advertisers.  They change hands in direct businesses to business sales, often as a result of existing commercial and personal relationships.

We have developed a service based on our practical experience of the approach taken by companies that make regular acquisitions to generate the contacts and relationships that lead to deals.

Our Service

Our service is based on a five stage process that will typically lead to a successful completion in six to nine months:

Acquisition Criteria Brief

This is an important part of the process. We work with you to develop a picture of the business that will best fit with your existing business.  Criteria include size, product or service base, market sector and management quality amongst other factors.

Finding the right targets can make the difference between a successful and a failed acquisition project.  Our researchers locate for all practical purposes every company that fits your acquisition criteria.  This first stage of the process should be completed within three weeks of getting the go ahead.

As soon as the target list is agreed we begin the process of contacting all the companies on the list to establish their willingness to sell.  Within a month we will be creating opportunities for you to meet with potential sellers on a face to face basis.

Meetings, Valuation and Offers

Selling Private Companies will set up meetings between yourselves and the key shareholders of the target companies – if possible at the target’s premises so that you can get a real feel for the company and its owners.  If this meeting is successful an indicative offer will follow to gauge price expectations before further resource is committed.

Deal Negotiation and Closure

Selling Private Companies can help you manage deal negotiation, contract preparation and due diligence through to closure.  We can either lead or support negotiations by your in-house team – whichever you prefer.

We charge an initial fee to cover the costs of research and the initial contact programme.   Any international travel will also be chargeable at cost.

A fixed success fee is payable on the completion of a purchase.
